Terms of Service

You agree not to use this site or any communication with Resolut Digital LLC to transmit fraudulent, harmful, or unlawful content; attempt to gain unauthorized access to our systems; or misrepresent your identity or affiliation. Resolut Digital LLC reserves the right to refuse service to any party at its sole discretion.

By accessing or using this site, you agree to be bound by these Terms of Service. If you do not agree, you may not use this site. These terms apply to all inquiries, prospective clients, and visitors.

Resolut Digital LLC reserves the right to update these Terms of Service at any time without prior notice. The effective date at the top of this page reflects the most recent revision. Continued use of this site or any services following any such update constitutes your acceptance of the revised terms.

This site and all content herein are provided on an "as is" basis without warranty of any kind, express or implied. Resolut Digital LLC makes no representation that this site will be continuously available, error-free, or free of inaccuracies.

These Terms of Service are governed by the laws of the State of Tennessee. Any disputes arising hereunder are subject to the jurisdiction and arbitration provisions outlined in our Disclosures & Legal page.

All code, deliverables, design assets, and work product produced by Resolut Digital LLC remain the exclusive intellectual property of Resolut Digital LLC until full payment has been received and a written service agreement is in effect. Upon commencement of an active engagement, clients are granted a limited, non-transferable license to use such work product solely in connection with that engagement. This license is contingent upon the continuation of the service relationship. Upon termination of services for any reason, the license revokes immediately, and Resolut Digital LLC reserves the right to reduce any client-facing digital presence built or maintained under the engagement to a baseline state. Clients are not entitled to ongoing access to proprietary systems, source files, or work product following termination unless explicitly provided for in the applicable service agreement.

To the fullest extent permitted by applicable law, Resolut Digital LLC shall not be liable for any consequential, incidental, indirect, or punitive damages arising from your use of this site, your reliance on its content, or any service engagement. Total liability to any party for claims arising from an engagement shall not exceed the amount paid by that party to Resolut Digital LLC in the three months immediately preceding the claim.

Payment terms are defined exclusively in the applicable service agreement. Resolut Digital LLC does not process payments through this site. Invoices are issued directly and are payable in accordance with the terms stated therein. Late or unpaid balances may result in suspension or termination of services without further notice.

Certain engagements include ongoing or recurring services such as maintenance, monitoring, or retainer arrangements. The terms governing such arrangements—including billing cycles, cancellation notice periods, and scope adjustments—are defined in the applicable service agreement and shall control in all cases.

Refund eligibility is governed exclusively by the applicable service agreement. Resolut Digital LLC does not offer blanket refunds. Concerns regarding a specific deliverable or engagement should be directed to legal@resolutdigital.com and will be addressed in good faith.

Resolut Digital LLC provides compliance auditing, design operations, and remediation services. The deliverables, pricing, scope, and timeline of any engagement are defined exclusively in a written service agreement executed by both parties. Nothing published on this site constitutes an offer of services or binds Resolut Digital LLC to any particular scope or price.

Either party may terminate a service engagement in accordance with the terms of the applicable service agreement. Resolut Digital LLC reserves the right to suspend or terminate access to services immediately and without notice in the event of breach of agreement, conduct deemed harmful to the interests of Resolut Digital LLC or its clients, or non-payment.
